SMS terms

These terms describe the ChangeNod text-messaging program (the "program"). ChangeNod is a product of Vexa Automations LLC, an Oklahoma limited liability company ("Vexa Automations," "we," "us," or "our"). We operate the program on behalf of the construction contractor named in each text. By replying to a ChangeNod text, or by using a link sent in one, you agree to these terms. Our privacy policy explains how we handle personal information.

What the program is

ChangeNod lets a contractor document extra work on a project by text. The contractor texts the change and its price to ChangeNod; ChangeNod texts the contractor's client a link to review and approve it; and once approved, the work is invoiced through the contractor's own Stripe account. The program is informational: every text is about the client's own project. It never contains advertising or promotions.

Who is texting you

Texts come from a ChangeNod number on behalf of the contractor named in the message, in the form "Johnson Construction via ChangeNod." ChangeNod is the software; the contractor is the business you hired, and the agreement for the work is between you and that contractor.

How you were enrolled

If you are a homeowner or other client, you did not sign up with us. Your contractor gave us your mobile number so that change orders on your project could be sent to you for approval. Contractors are responsible for having your permission to do that. The first text you receive from a contractor through ChangeNod is a short program disclosure that names the contractor and ChangeNod, says what we will text you about, that message frequency varies, that message and data rates may apply, and how to opt out and get help. We keep a record of that disclosure, the number it went to, and when it was sent.

If you are a contractor, you enrolled when you signed up for ChangeNod and provided the mobile number you text change orders from. The first text to that number is the same disclosure.

Consent to this program is specific to it. It is not transferred to any other business, program or sender, and we never text numbers from lists that were bought, rented or shared.

What you will receive

Homeowners and other clients:

If you reply to a text, your reply is passed to your contractor. ChangeNod does not carry free-form conversation back to you; your contractor will contact you directly.

Contractors:

Message frequency varies with the activity on your project. A typical change order produces one approval text and, if needed, a reminder or two, then one invoice text with reminders until it is paid. Message and data rates may apply. Wireless carriers are not liable for delayed or undelivered messages.

Opting out

Reply STOP to any text to opt out. Plain-language variants such as STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work. You will receive one final message confirming that you have opted out, and nothing further from that contractor's program. Opting out does not end your agreement with your contractor; it means ChangeNod will not text you. Your contractor will be told to reach you another way, and can give you the approval link or invoice link directly. To receive texts again, reply START.

Approving a change order electronically

When you open an approval link you will see the contractor's business name, the project, what the change is, each line and its price, and the total. To approve, you type your name and tick a box containing the consent statement shown on the page, which says that you authorize the contractor to perform the work described, agree to be billed the amount shown, and intend your typed name to be your legal signature. We record your typed name, the exact statement you accepted, the date and time, your IP address and your browser's identifying string, and we keep that record with the change order as the record of what was agreed. You can decline instead, with or without a reason, and you can ask your contractor to handle the change on paper. Approval links stop working 14 days after they are sent; your contractor can send a new one.

ChangeNod is not a party to the agreement between you and your contractor and does not give legal advice. Questions about the work or the price go to your contractor.

Payment

Invoices for approved work are issued by your contractor through Stripe, on the contractor's own Stripe account, and you pay on Stripe's secure pages. ChangeNod never holds or handles your money.

Your privacy

We do not share, sell, or provide your mobile phone number or messaging consent data to third parties or affiliates for marketing or promotional purposes. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes at any time. Our privacy policy lists the service providers that help us send texts and process payments, and what each receives.

Contractors' responsibilities

Contractors who use the program agree to give us only the numbers of clients who have agreed to receive texts about their project, to keep client details accurate, to honour a client's request to stop, and to use the program only for change orders and invoices on their own projects.

Changes to these terms

We may update these terms. The current version is always at this address with its effective date. Material changes will be reflected in the program disclosure sent to new numbers, and we will email contractors at the address on their account before they take effect.

Governing law and venue

These terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-laws rules. Any legal action concerning these terms or the program must be brought in the state or federal courts located in Oklahoma County, Oklahoma.
